These Terms of Service ("Terms") govern your access to and use of the website located at www.cosmicgmproperty.com (the "Site") and any consulting, advisory, or analysis services (collectively, the "Services") offered by Cosmic GM Property Inc., a Wyoming corporation. By accessing the Site or engaging our Services, you agree to be bound by these Terms.
Cosmic GM Property provides rental property consulting, property management advisory, and rental market analysis services. We do not provide legal advice, tax advice, investment advice, real estate brokerage, property management, lending, or money transmission. We do not buy, sell, lease, or manage real property on your behalf. Where regulated professional services are required, we will recommend that you engage licensed professionals.
Each engagement is documented in a written engagement letter signed by both parties. The engagement letter sets out the scope, deliverables, fees, payment schedule, and timing. If there is a conflict between these Terms and an engagement letter, the engagement letter controls for that engagement.
Fees are quoted in U.S. dollars and are set out in the applicable engagement letter. Most engagements are billed as flat fees, with half due at kickoff and half due upon delivery. Late invoices may accrue interest at 1.5% per month or the maximum rate permitted by law. Payments are processed by our payment processor (Stripe, Inc.). Refunds are governed by our Refund Policy.
You agree to provide accurate and complete information about your property and your situation, respond to reasonable requests for information in a timely manner, and comply with all applicable laws and regulations relevant to your rental activity, including landlord-tenant, fair-housing, and local-licensing requirements.
Each party agrees to keep confidential the non-public information of the other party that is marked confidential or that a reasonable person would understand to be confidential. Confidential information may be used only to perform under the engagement and may be disclosed only as required by law or to advisors under similar duties of confidentiality.
Upon full payment of all fees due, you receive a non-exclusive, perpetual license to use the deliverables we create for you for your internal business purposes. We retain ownership of our pre-existing materials, templates, methodologies, and rental market data.
The Site and Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, beyond those required by law. Rental market data is provided as a snapshot of conditions at the time of analysis and may change. We do not guarantee any specific rental income, occupancy rate, or financial outcome.
To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Services shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the event. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost rents, lost profits, or property-related losses.
You agree to defend, indemnify, and hold harmless Cosmic GM Property from and against any third-party claims, damages, liabilities, and reasonable attorneys' fees arising out of your breach of these Terms, your misuse of the Services, or your violation of applicable law (including landlord-tenant and fair-housing law).
These Terms remain in effect while you use the Site or our Services. Either party may terminate an engagement upon written notice as set out in the applicable engagement letter. Upon termination, you remain responsible for fees earned through the effective date of termination.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Laramie County, Wyoming, administered by the American Arbitration Association under its Commercial Arbitration Rules.
These Terms, together with the applicable engagement letter, constitute the entire agreement between you and Cosmic GM Property regarding the subject matter. If any provision is held unenforceable, the remaining provisions remain in force.
